These Terms of Service (“Terms”) govern your access to and use of the YayCommerce website, software products, services, documentation, and customer support (collectively, the “Services”). By purchasing, downloading, installing, or using any YayCommerce product, you agree to be bound by these Terms.
If you do not agree to these Terms, please do not purchase or use our Services.
1. About YayCommerce
YayCommerce develops premium WordPress and WooCommerce plugins designed to extend the functionality of websites built on the WordPress platform.
Our Products are intended to operate within the WordPress ecosystem, which consists of independently developed software, themes, plugins, hosting environments, browsers, and server configurations. As such, some aspects of functionality depend on technologies outside our control.
2. Eligibility
By using our Services, you confirm that:

you have the authority to purchase or use the Services on behalf of yourself or your organization; and

your use of the Services complies with applicable laws.
3. License
Subject to your purchase and continued compliance with these Terms, YayCommerce grants you a non-exclusive, non-transferable, revocable license to use the purchased Product in accordance with your selected license plan.
Unless otherwise permitted by applicable open-source licenses, you may not:

redistribute the Product as a competing commercial product;

sublicense or resell access to the Product except as expressly permitted by your license;

remove copyright or proprietary notices;

falsely represent the Product as your own work.
Nothing in these Terms limits any rights granted under applicable open-source software licenses.
4. Purchases and Subscription
Certain Products are sold as annual subscriptions that include:

software updates;

bug fixes;
-
access to premium downloads;

customer support during the active subscription period.
Unless otherwise stated during checkout, subscriptions renew automatically until cancelled.
You may cancel renewal at any time. Cancellation prevents future charges but does not retroactively refund previous payments unless covered by our Refund Policy or required by applicable law.
5. Refund Policy
We want customers to evaluate our Products with confidence.
For purchases made directly from YayCommerce, we offer a 30-day no-questions-asked money-back guarantee.
If you are not satisfied with your purchase within 30 days, simply contact our support team and request a refund.
This voluntary refund policy is in addition to, and does not replace, any mandatory consumer rights that may apply under applicable law.

6. Product Updates
We continuously improve our Products by releasing:

compatibility updates;

performance enhancements;

new features.
Because WordPress, WooCommerce, PHP, browsers, themes, hosting providers, and third-party plugins evolve continuously, updates may occasionally introduce new compatibility issues that require further investigation and refinement.
We make commercially reasonable efforts to maintain compatibility with supported software versions but cannot guarantee uninterrupted compatibility with every environment.
7. Support Services
Active license holders are entitled to customer support in accordance with our Support Policy.
Support generally includes:

installation guidance;

configuration assistance;

troubleshooting reproducible issues;

clarification of documented functionality;
-
investigation of suspected software defects.
Support does not include custom software development, website administration, general WordPress consulting, server administration, or implementation of bespoke functionality unless explicitly agreed in writing.
Our support team may request information reasonably necessary to investigate an issue, including screenshots, system information, temporary administrator access, staging environments, or error logs.
Failure to provide sufficient information may limit our ability to investigate or resolve an issue.
8. Custom Development
Many customers customize our Products using hooks, filters, template overrides, CSS, JavaScript, PHP snippets, or other modifications.
While our Products are designed to support extensibility, custom implementations are the responsibility of the customer or their developer.
Issues caused by custom code, modified plugin files, custom integrations, or altered database structures fall outside the standard scope of support.
Where practical, we may offer general guidance, but we are not obligated to debug, write, or maintain customer-specific customizations.
9. Third-Party Compatibility
Our Products are developed primarily for compatibility with currently supported versions of WordPress and WooCommerce.
We also strive to maintain compatibility with many widely used third-party plugins and themes.
However, because thousands of independently developed products exist within the WordPress ecosystem, we cannot guarantee compatibility with every plugin, theme, hosting provider, browser, or custom solution.
If a compatibility issue is identified, we will evaluate it in good faith and may provide a fix where technically feasible and consistent with our product roadmap.
Compatibility with third-party software is not guaranteed.
10. Bug Reports
We welcome bug reports and continuously improve our Products based on customer feedback.
A reported issue may be considered a software defect when it can be reasonably reproduced using supported software versions without unrelated third-party interference or unsupported custom modifications.
Issues arising from unsupported environments, conflicting plugins, custom code, server restrictions, outdated software, or incorrect configuration may not constitute Product defects.
11. Customer Responsibilities
Customers are responsible for:

maintaining appropriate website backups;

testing updates in staging environments where appropriate;

maintaining supported versions of WordPress and WooCommerce;
-
ensuring hosting environments meet minimum system requirements;
-
maintaining any custom code they implement;
-
protecting their own administrator credentials and website security.
12. AI-Generated and Third-Party Advice
Customers may use AI tools, online communities, consultants, or other third-party resources when troubleshooting software or interpreting legal or technical matters.
Such information may provide helpful guidance but does not by itself establish that:

a software defect exists;
-
YayCommerce has breached these Terms;
-
a Product is unsuitable for its intended purpose; or
-
a customer is entitled to compensation beyond our published policies or applicable law.
Support requests and disputes are evaluated based on the specific technical facts, reproducible evidence, applicable documentation, and the circumstances of each case.
13. Acceptable Use
You agree not to:

use our Services for unlawful purposes;

distribute malware or malicious code;
-
interfere with our infrastructure;
-
abuse or harass our employees or support staff;

submit intentionally misleading technical reports;

misuse trial systems or licensing mechanisms.
We reserve the right to suspend or terminate access where necessary to protect our Services, employees, customers, or infrastructure.
14. Intellectual Property
Except where otherwise provided by applicable open-source licenses, all trademarks, branding, documentation, graphics, website content, and proprietary software developed by YayCommerce remain the property of YayCommerce or its licensors.
Purchasing a Product grants a license to use it—it does not transfer ownership.
15. Disclaimer of Warranties
Our Services are provided on an “as is” and “as available” basis.
While we strive to provide reliable and high-quality software, we do not warrant that the Services will be uninterrupted, error-free, or compatible with every possible software configuration.
Nothing in this section limits any warranties that cannot legally be excluded under applicable law.
16. Limitation of Liability
To the fullest extent permitted by applicable law, YayCommerce shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, business interruption, loss of goodwill, loss of data, or other commercial losses arising from the use or inability to use our Products.
Our total aggregate liability arising out of or relating to any Product shall not exceed the amount paid by the customer for that Product during the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability where such exclusion would be unlawful.
17. Force Majeure
YayCommerce shall not be liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, internet outages, cyberattacks, labor disputes, governmental actions, or failures of third-party infrastructure.
18. Changes to the Services
We may modify, improve, discontinue, or replace features of our Products as technology evolves.
Where practical, significant changes affecting existing customers will be communicated in advance.
19. Changes to These Terms
We may revise these Terms from time to time.
Updated versions become effective upon publication on our website unless otherwise stated.
Continued use of our Services after the effective date constitutes acceptance of the revised Terms.
20. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the jurisdiction in which YayCommerce operates, without regard to conflict of law principles.
Nothing in these Terms limits mandatory consumer protections that apply under the laws of your country of residence.
